1. The agreement
These Terms of Service (“Terms”) are an agreement between you and DRT Technologies, LLC (“DRT,” “we,” “us”). They apply when you use drttechnologies.com, create or use an account in Olie by DRT Technologies (“Olie”), or engage DRT for project services. By doing any of those things, you agree to these Terms.
If you accept these Terms for a business, you confirm that you have authority to bind it, and “you” means that business. If you do not agree, do not use our website or services.
Our Privacy Policy explains how we handle personal information.
2. Signed agreements come first
If you and DRT have signed a written agreement, such as a subscription agreement, order form, project proposal or statement of work, that agreement controls wherever it conflicts with these Terms. These Terms apply to everything the signed agreement does not address.
3. Using our website
- The website describes our company and services. It is not an offer, and we may change it at any time.
- DRT owns the website's content and design. Client work shown on it belongs to DRT or our clients and appears with permission. You may not copy or reuse it without permission.
- Do not interfere with the site, attempt to get around its security, or use automated means to overload it or collect its content.
- Do not send sensitive information, such as payment card numbers or government ID numbers, through the contact form.
4. Olie subscriptions
What Olie is
Olie is cloud business-management software for contractors. Olie is currently available to a limited group of design-partner businesses that DRT onboards directly. We may add, change or remove features.
Accounts
The subscribing business (the “Customer”) decides who can use its workspace and is responsible for its Users' activity, for keeping sign-in credentials secure, and for keeping account information accurate. Tell us promptly about any unauthorized use. We strongly recommend turning on multi-factor authentication. Each User must accept the Olie acceptable use rules (Sections 6A and 7) the first time they sign in. The Customer is responsible for any breach of these Terms by its Users.
Fees and billing
- Subscription. Olie subscriptions are billed monthly, in advance, through Stripe, starting on the date the subscription begins. By subscribing, you authorize recurring charges to your payment method on file until you cancel.
- Onboarding. A one-time onboarding fee covers setting up your workspace and bringing your team and records into Olie. It is billed through Stripe as stated in your order.
- Prices. Your fees are the ones stated in your order or checkout. We will give you at least 30 days' notice before a price change, and it takes effect at the start of your next billing period after that notice.
- Taxes. Fees do not include taxes. You are responsible for applicable taxes, which we add where the law requires.
- Late payment. If a payment fails, Stripe may retry it. If fees remain unpaid after we notify you, we may suspend access until the account is paid.
Cancellation
You may cancel at any time by emailing ryan@drttechnologies.com or through any cancellation option we provide in Olie. Cancellation takes effect at the end of the current billing period. You keep full access until then, and you will not be charged again. After that, Olie becomes read-only so you can still sign in and export. Your export and deletion rights are described in section 6.
Taking payments from your own customers
You can connect your own Stripe account so that your customers pay you directly. That account is yours: you sign in to Stripe with your own login, Stripe's fees come out of your account, and payouts go to your bank. DRT takes no share of those payments, and DRT's own Stripe account is used only to bill you for Olie. Disputes, fees and payouts on your account are governed by your own agreement with Stripe.
Texting your customers
If you use Olie to text your customers, United States carrier rules require your business to be registered first, under its own name and its own texting number. You supply the registration details, Olie files them with Twilio and the carrier registry, and approval commonly takes two to four weeks. Olie supports standard business registrations and, for businesses without a tax ID, sole-proprietor registrations, which carriers limit to one number and lower sending volume. There is no shared DRT number to text from in the meantime, because a shared sending number would misidentify the sender to the carriers. Until your registration is approved, Olie holds your texts in your outbox instead of sending them, with the reason, and it will never send them from another business's number. You may also use Olie to compose a text that you then send yourself from your own phone. You are responsible for having the consent the law requires from each person you text and for honoring opt-out requests. Olie files the standard STOP and HELP keywords with your campaign. When a recipient replies STOP or another standard opt-out word, Olie records the opt-out automatically; you or your staff may also record one by hand. From then on Olie refuses to queue any further message to that number.
Refunds
Fees are non-refundable. We do not give refunds or credits for partial months or unused time, and the onboarding fee is non-refundable once onboarding is complete. The only exceptions are where the law requires a refund or DRT agrees to one in writing. If you believe you were charged in error, contact us before disputing the charge with your bank so we can fix it.
5. Project services
DRT provides website design and development, digital marketing, and photo and video production, including aerial and drone work. These services are billed per project or as a monthly retainer.
- Your proposal governs. Each engagement is defined by a signed proposal or statement of work that sets out scope, price, schedule, deliverables, revisions, deposits, milestone payments and, for retainers, the monthly fee and how to end it. Changes to scope need written approval and may change the price or schedule.
- Payments. Deposits and milestone payments are due as the proposal states. We may pause work while an invoice is past due. Refunds for project work, if any, are as the proposal states or as the law requires.
- Third-party costs. Advertising budgets, domains, hosting, stock media, music licenses and similar costs are handled as the proposal states. Advertising budget is paid to the platforms and never spent without your approval.
- Your part. You will provide materials, access and approvals on time, and you confirm you have the rights to the materials you give us.
- Shoots and aerial work. On-site and drone production depends on weather, safety, airspace and legal restrictions. We may reschedule a shoot when conditions or rules do not allow it to go ahead safely and lawfully.
- Ownership of deliverables. Unless your proposal says otherwise, and except for social media, marketing and multimedia creative work, which Section 5A governs: once DRT receives full payment, DRT assigns to you the rights, including copyright, in the final deliverables the proposal identifies. DRT keeps raw and source materials (such as unedited footage, photos, project and working files) and its own reusable tools, templates, presets, code libraries and methods, and gives you a perpetual, royalty-free license to any of them that remain part of a final deliverable. Third-party assets such as stock media, licensed music and fonts are licensed, not owned, and their license terms apply. You keep ownership of the materials you supply. DRT may show finished work in its portfolio and on social media, with credit, unless you opt out in writing.
5A. Social media, marketing and creative work
This section governs social media, marketing and multimedia packages — the content, edits and creative work DRT produces to promote your business, such as short-form video, reels, photography, motion graphics, audio, graphics and written posts (together, the “Creative Work”). Where it differs from the ownership terms in Section 5, this section controls for Creative Work.
- Creative direction is DRT’s. We work to understand your business and to capture your and your company’s ideas, and we take your input seriously. The creative and editorial decisions on the finished Creative Work — the look, the edit, the pacing, the music, the effects and the final form — are DRT’s to make, in DRT’s creative judgment. Trying to capture what you want is a goal, not a guarantee of a specific result.
- The Creative Work and edits are DRT’s intellectual property. The Creative Work, including all edits, raw and source files, project files, presets and the techniques used to make it, is the intellectual property of DRT Technologies, LLC, and DRT owns all copyright and other rights in it. On full payment, DRT grants you a perpetual, non-exclusive, royalty-free license to use and publish the delivered Creative Work to promote your business. Ownership does not transfer, and this section applies instead of the deliverable-assignment terms in Section 5. Third-party assets such as stock media, licensed music and fonts remain licensed, not owned, on their own terms.
- Revisions are limited. Each package includes only the revision rounds its proposal names. We will correct genuine errors and work that departs from the agreed scope. Not liking a creative choice that is within the direction and scope we agreed is not an error, and does not entitle you to unlimited revisions or unlimited time. Additional rounds and additional time are billable at our then-current rates and must be agreed in writing.
- Fees are earned; dissatisfaction is not a refund. Fees for Creative Work are earned when the work is produced and delivered to the agreed scope. Being unhappy with a creative choice that is within the agreed direction and scope is not grounds for a refund, a discount or unpaid rework. Refunds, if any, are only as the proposal states or the law requires.
- Portfolio use. DRT may show the Creative Work in its portfolio and on its own channels, with credit, unless your proposal says otherwise in writing.
6. Customer data and intellectual property
For Olie, the DRT Platform Customer Terms for Intellectual Property and Data (version 1.1) govern the topics below in detail, and they control if they differ from this summary. We provide them with your subscription and on request.
- DRT owns Olie. The software, base models, prompts, interfaces, designs, documentation and improvements not derived from Customer Data belong to DRT and its licensors. The Customer receives a non-exclusive, non-transferable subscription right to use Olie for its internal business operations during its subscription.
- The Customer owns its data. As between the parties, the Customer owns the data, records, files and content it and its Users submit (“Customer Data”) and everything derived from it. DRT may host, process, transmit, display and back up Customer Data only to provide and support Olie for that Customer and to comply with the law.
- Never shared, never used for others, never public. DRT will not, in any form, including de-identified, anonymized or aggregated form, use Customer Data or anything derived from it to train, tune or improve anything that serves another customer; make it available to another customer; make it public or use it in marketing without the Customer's written consent; or sell it.
- AI. By default, Olie's AI features process Customer Data only on models DRT operates. An outside AI provider stays off until the Customer's owner turns it on for named features, after a plain disclosure that DRT does not guarantee that provider's data handling; Olie enforces that choice on every request, and the Customer may revoke it at any time for future requests. Outside providers include the AI services of infrastructure hosts such as Cloudflare Workers AI and Amazon Bedrock. Data sent to an enabled provider is subject to that provider's terms and, where the Customer connected its own account, to the Customer's own agreement with that provider. Checking uploaded files for malware and sorting them by document type also runs at an outside provider and needs the same opt-in; until it is given, uploads are stored but left unscanned and unsorted. AI output belongs to the Customer, may contain errors, and must be reviewed before the Customer relies on it or sends it to others, especially pricing, estimates, invoices and communications.
- Confidentiality. Each party protects the other's non-public information with at least reasonable care. Customer Data is the Customer's confidential information. Olie's non-public features, code and documentation are DRT's.
- Security. DRT maintains commercially reasonable safeguards for Customer Data and will notify the Customer without undue delay of any confirmed unauthorized access to it.
- Export. During the subscription, and for 30 days after it ends, the Customer may export its data from inside Olie in a commonly used format, and sign-in stays available for that purpose. The export is a single archive holding the Customer's records as data files together with the documents and photos it uploaded. Keys and passwords are stripped out of it, and it is delivered over a private, short-lived download link.
- Deletion. DRT deletes Customer Data and everything derived from it from active systems within 30 days after that export window closes — that is, within 60 days of the end of the subscription — and gives the Customer a deletion receipt. Routine backups expire on their own schedule; security and audit logs are kept up to 12 months; and DRT keeps anything the law requires it to keep. A Customer's owner may ask DRT to delete sooner. DRT may put a deletion on hold where the law requires, and will tell the Customer if it does.
- Usage Data and feedback. DRT may use technical logs and metrics that contain no Customer Data to operate, secure and maintain Olie. If you give us suggestions, we may use them without obligation. Feedback never includes Customer Data.
6A. Ownership, copyright and trademarks
Olie is DRT's property. Olie by DRT Technologies, including its software, source and object code, mobile applications, databases and data structures (other than Customer Data), AI models, prompts, instructions, knowledge and trade packs, templates, workflows, interfaces, visual design, documentation, and all updates, improvements and derivative works of any of them that are not derived from Customer Data (together, the “DRT Materials”), is owned exclusively by DRT Technologies, LLC and its licensors. DRT owns all right, title and interest in the DRT Materials, including all copyrights, trade secrets, patent rights, trademark rights and other intellectual property rights anywhere in the world.
Copyright. The DRT Materials are protected by the copyright laws of the United States and other countries. Olie is © 2026 DRT Technologies, LLC. All rights reserved. DRT has applied to register its copyright in Olie with the United States Copyright Office.
Trademarks. “Olie,” “Olie by DRT Technologies,” “DRT Technologies,” and the related names, logos and trade dress are trademarks of DRT Technologies, LLC. These Terms give you no right to use them, except to identify Olie accurately as the software your business uses.
Trade secrets and confidentiality. The non-public parts of the DRT Materials, including code, prompts, instructions, knowledge packs, system design and security measures, are DRT's trade secrets and confidential information.
No implied rights. Your only right to the DRT Materials is the limited subscription right in Section 6. DRT reserves every right these Terms do not expressly grant. You receive no ownership of or license to DRT's source code, and no rights by implication, estoppel or otherwise.
Notices. You will not remove, hide or alter any copyright, trademark, confidentiality or other proprietary notice in Olie or in anything it produces.
7. Acceptable use
You will not, and will not let others:
- use our services for anything unlawful, fraudulent, harassing or infringing;
- send spam or unwanted messages through Olie, or contact people without the consent the law requires;
- upload malware, or data you do not have the right to use;
- probe, scan or test the security of our systems without our written permission, or get around security or usage limits;
- copy, modify, translate, frame, mirror or create derivative works of any part of Olie;
- reverse engineer, decompile or disassemble Olie or its mobile applications, or otherwise try to obtain its source code, models, prompts, instructions or knowledge packs, except to the extent the law expressly allows despite this limitation;
- use scrapers, bots, crawlers or other automated means to extract content, data, prompts or functionality from Olie, other than through export tools and interfaces DRT provides for that purpose;
- use Olie, or any information about how it works, to design, build, train or improve a competing product or service, or give a competitor of DRT access to Olie;
- publish or share benchmarks or performance tests of Olie without DRT's written permission;
- sell, resell, rent, lease, sublicense or otherwise make Olie available to anyone other than your own Users;
- share sign-in credentials, or let anyone who is not your employee or authorized contractor use your workspace;
- interfere with or overload our services or other customers' use of them.
The Customer is responsible for the accuracy and lawfulness of its Customer Data and for its own compliance with laws that apply to its business, including laws on communicating with and collecting signatures and payments from its clients.
8. Third-party services
Olie and our project work can connect to services we do not control. Depending on what is enabled for you, these can include Stripe, both for your Olie subscription and, separately, through your own connected Stripe account for payments from your customers; Intuit QuickBooks for your own company file; Resend for email; Twilio for text messaging, together with The Campaign Registry and the United States mobile carriers that review and carry your messages; Cloudflare, Neon and Amazon Web Services for hosting, storage and databases; and the AI providers described in section 6. Several of these you connect with your own account, in which case your agreement with that company governs it and its fees are yours. Your use of those services is subject to their terms and privacy policies. DRT is not responsible for how they operate or handle data.
9. Disclaimers
Except as expressly stated in these Terms or a signed agreement, and to the fullest extent the law allows, our website and services are provided “as is” and “as available.” DRT disclaims all implied warranties, including merchantability, fitness for a particular purpose and non-infringement. We do not promise that Olie will be uninterrupted or error-free. We do not guarantee search rankings, traffic, leads or revenue from our work. Olie and its AI features do not provide legal, tax, accounting or engineering advice.
10. Limitation of liability
To the fullest extent the law allows:
- Neither party is liable to the other for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, even if it was told they were possible.
- Each party's total liability arising out of these Terms or our services is limited to the amounts you paid or owe DRT for the service giving rise to the claim during the 12 months before the event that caused the liability.
- These limits do not apply to: your obligation to pay fees; your breach of Section 6A or Section 7 or your infringement or misappropriation of DRT's intellectual property; either party's breach of its confidentiality obligations; either party's indemnification obligations; liability for fraud, gross negligence or willful misconduct; or any liability the law does not allow to be limited.
11. Indemnification
- By you. You will defend and indemnify DRT against third-party claims arising from your Customer Data or the materials you supply, or from your use of our services in violation of these Terms or the law.
- By DRT. DRT will defend and indemnify you against third-party claims that Olie, as provided by DRT and used in line with these Terms, infringes a United States patent, copyright or trademark or misappropriates a trade secret. This does not cover claims caused by Customer Data, third-party services, changes not made by DRT, or combinations with things DRT did not provide. If such a claim arises, DRT may modify Olie, obtain the rights to keep providing it, or end the affected subscription and refund prepaid fees for the unused period.
- How it works. The party seeking protection must notify the other promptly, let it control the defense and settlement, and cooperate reasonably. No settlement may admit fault by, or impose obligations on, the protected party without its consent.
12. Suspension and termination
- You may cancel an Olie subscription as described in section 4, and end project services as your proposal allows.
- DRT may suspend or end your access if fees remain unpaid after we notify you, or if you materially breach these Terms and do not fix the breach within 30 days of our notice.
- DRT may suspend access immediately when needed to stop abuse, a security threat, a violation of section 7, or harm to DRT, our customers or others, or when the law requires it. We will tell you why and restore access once the problem is resolved.
- If DRT ends a subscription for any reason other than your breach or non-payment, we will refund prepaid fees for the unused period.
- When a subscription ends, Olie becomes read-only: the Customer can still sign in, view and export its data during the export window described in section 6, but cannot create or change records. The export and deletion terms in section 6 apply, and unpaid fees remain due. Sections that by their nature should survive, including those on data, fees, disclaimers, liability, indemnification and governing law, survive.
13. Governing law and venue
These Terms are governed by the laws of the State of Tennessee, without regard to its conflict-of-law rules. Any dispute arising out of these Terms or our services will be brought exclusively in the state courts located in Blount County, Tennessee, or in the United States District Court for the Eastern District of Tennessee, and each party consents to those courts' jurisdiction. Either party may seek urgent injunctive relief in any court to protect its intellectual property or confidential information.
You agree that unauthorized use, copying or disclosure of the DRT Materials would cause DRT irreparable harm for which money damages would not be an adequate remedy. DRT may therefore seek an injunction or other equitable relief without posting a bond, to the extent the law allows. In any action to enforce Section 6A or Section 7, or to protect DRT's intellectual property or confidential information, the prevailing party may recover its reasonable attorneys' fees and costs.
14. Changes to these terms
We may update these Terms by posting a new version on this page with a new effective date. If a change materially affects current Olie subscriptions, we will email the Customer's account owner at least 30 days before it takes effect. If you do not agree to a change, you may cancel before it takes effect. Continuing to use our services after that means you accept the updated Terms. A signed agreement changes only in a writing signed by both parties.
15. General terms
- Entire agreement. These Terms, any signed agreement with DRT, and the documents they reference are the whole agreement on their subject.
- Assignment. You may not transfer these Terms without DRT's written consent. DRT may transfer them as part of a merger, acquisition or sale of its business.
- Force majeure. Neither party is responsible for delays caused by events beyond its reasonable control, except for payment obligations.
- Independent parties. The parties are independent contractors. These Terms create no partnership, employment or agency.
- Notices. We send notices to the email address on your account. Send notices to DRT at the contact details below. You agree that agreements and notices may be provided electronically.
- Severability and waiver. If any part of these Terms is unenforceable, the rest remains in effect. Not enforcing a term is not a waiver of it.
- Survival of IP terms. Sections 6A and 7 survive the end of your subscription.
